These Terms of Service (“Terms”) govern access to and use of the websites, applications, content, tutoring, review, mentorship-matching, and other services provided by NuvStem Inc.(“NuvStem,” “we,” “us,” or “our”) (collectively, the “Services”).
By creating an account, purchasing or booking a Service, submitting a request, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
NuvStem is a STEM learning-support platform operated by NuvStem Inc. from British Columbia, Canada. Depending on availability and the nature of a request, the Services may include tutoring, draft and report review, research guidance, technical project guidance, code review and coding guidance, educational resources, worked examples, templates, mentorship matching, and introductions to research, capstone, internship, funded-project, or industry opportunities.
NuvStem supports learning and professional development. It is not a degree-granting institution, employment agency, engineering firm, law firm, medical provider, or guarantor of academic or professional outcomes.
You may create and control your own account only if you are able to enter into a binding agreement under the law that applies to you.
A student who is under the age of majority where they live may use the Services only with the involvement and consent of a parent or legal guardian where required. NuvStem may require a parent or guardian to control the account, provide consent, or participate in communications before providing certain Services.
The Services are not intended for children under 13. A child under 13 must not create an account or submit personal information to NuvStem. If we learn that we collected personal information from a child under 13 in circumstances where we should not have done so, we will take reasonable steps to delete it.

NuvStem exists to help students learn, reason, improve, and complete their own work.
You must not use the Services to:
Permitted support may include concept explanation, planning, feedback, critique, debugging, code review, research strategy, methodology discussion, structure review, practice problems, revision guidance, and other forms of learning support that are allowed by the rules applicable to the student.
Rules differ across institutions and assignments. You are responsible for determining what assistance is permitted and for making any required disclosure of tutoring, editing, collaboration, or AI assistance.
The Academic Integrity Policy and Honor Code form part of these Terms.
NuvStem may explain programming concepts, review code, help debug errors, discuss architecture, suggest tests, review reasoning, and teach development methods.
NuvStem will not knowingly provide impersonation services, bypass access controls, help submit work falsely represented as solely authored by the student, or complete prohibited assessed work on a student's behalf.
For capstone, research, and engineering projects, NuvStem may support scoping, planning, research methods, analysis review, documentation, testing strategy, code review, and presentation preparation. The student or project team remains responsible for the work, decisions, validation, safety, ethics approvals, institutional approvals, and final submission.
NuvStem may provide Services through employees, independent contractors, or volunteers.
The availability, format, and personnel assigned to a request may vary. NuvStem may reassign a request where reasonably necessary for availability, quality, safety, conflicts, or policy compliance.
Nothing in these Terms guarantees that a particular tutor, reviewer, or mentor will be available.
NuvStem may introduce students to industry professionals, researchers, project sponsors, mentors, employers, or other opportunity providers.

“User Content” means content you submit, upload, send, or otherwise provide through the Services, including messages, drafts, reports, project descriptions, code, spreadsheets, images, archives, and other materials.
You keep ownership of your User Content.
You grant NuvStem a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, display internally, and otherwise use User Content only as reasonably necessary to:
This license does not transfer ownership of your User Content to NuvStem.
You represent that you have the rights and permissions required to submit User Content. Do not upload confidential exams, stolen answer keys, unlawfully obtained materials, another person's work without permission, or content that you are not permitted to share.
NuvStem may use locally operated AI models to assist with limited functions such as code review, internal tutor-support workflows, and recommendations of mentors or resources.
Under the current policy:
NuvStem may change or expand AI features. Where a change materially affects how personal information is processed, NuvStem will update the Privacy Policy and provide any notice or consent required by applicable law before the new processing begins. See also our Responsible AI Policy.
The Services and NuvStem Content are owned by or licensed to NuvStem unless expressly stated otherwise.
“NuvStem Content” includes website text, branding, logos, design elements, templates, examples, reports, diagrams, learning resources, databases, software interfaces, and other materials made available by NuvStem.
Subject to these Terms, NuvStem grants you a limited, revocable, non-transferable, non-sublicensable right to access and use NuvStem Content for your personal learning and lawful use of the Services.

The price and payment method for a paid Service will be shown at checkout, in an invoice, in an accepted quote, in a statement of work, or in another written order summary before payment is due.
Services may be priced by session, hour, package, project, subscription, or another disclosed model.
Payments may be processed by third-party payment providers. NuvStem does not require users to send full payment-card details by ordinary email or support message.
You are responsible for applicable taxes, currency-conversion charges, bank charges, or similar fees that are lawfully imposed and clearly disclosed or charged by your payment provider.
For scheduled tutoring or support sessions:
For prepaid session packages, the user may request a refund for unused sessions. The refund will be calculated on a pro-rata basis using the amount paid and the unused portion of the package, subject to:
Cancellation and refund terms for fixed-scope work may be stated in the accepted quote, order, or statement of work.
Where no specific cancellation provision was agreed, NuvStem may retain amounts reasonably attributable to work already performed and non-recoverable third-party costs that were disclosed and lawfully chargeable, and will refund the remaining unearned portion.
Nothing in this section limits cancellation, refund, chargeback, cooling-off, or other consumer rights that cannot lawfully be waived. Where mandatory law gives you more favourable rights, those rights apply.
We may add, remove, suspend, or change features of the Services. We may perform maintenance and may experience outages, delays, or errors.
We do not promise uninterrupted or error-free operation.
Where a material change affects a paid Service already purchased, we will take reasonable steps to provide the Service, offer an appropriate substitute, issue a credit, or provide a refund where required by the agreement or applicable law.
The Services may depend on or link to third-party services, including hosting, database, authentication, communications, file storage, security, and payment providers.
Third-party services are governed by their own terms and privacy practices. NuvStem is not responsible for a third party's independent services or content, except to the extent responsibility cannot lawfully be excluded.
NuvStem provides educational support and general information.
Unless NuvStem and the user separately enter into a written professional-services agreement that expressly says otherwise, the Services are not legal, medical, accounting, financial, psychological, architectural, or professional engineering advice.
For safety-critical, regulated, clinical, legal, financial, or professional decisions, obtain advice from an appropriately qualified and licensed professional.
NuvStem does not guarantee:
You remain responsible for your learning, decisions, submissions, compliance, and outcomes.
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis.
NuvStem does not make warranties that the Services will be uninterrupted, error-free, completely secure, or suitable for every purpose.
Nothing in these Terms excludes warranties, conditions, guarantees, or rights that cannot lawfully be excluded.
To the maximum extent permitted by law, NuvStem will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, opportunities, reputation, anticipated savings, or data, arising out of or relating to the Services.
To the maximum extent permitted by law, NuvStem's aggregate liability arising out of or relating to the Services will not exceed the greater of:

To the extent permitted by law, you agree to indemnify and hold harmless NuvStem Inc. and its directors, officers, employees, contractors, and agents from third-party claims, losses, liabilities, and reasonable costs arising from:
This section does not require you to indemnify NuvStem for NuvStem's own negligence, unlawful conduct, or breach where applicable law does not allow such an allocation of responsibility.
NuvStem may decline a request, remove or restrict content, restrict features, suspend an account, or terminate access where reasonably necessary to:
Where appropriate, NuvStem may consider severity, repetition, intent, risk, and the user's prior conduct.
You may stop using the Services at any time and may request account deletion as described in the Privacy Policy.
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules.
Subject to any mandatory right you have under applicable consumer or local law, disputes relating to these Terms or the Services will be brought before the courts located in Victoria, British Columbia, Canada.
Nothing in these Terms prevents the parties from attempting good-faith informal resolution before starting legal proceedings.
NuvStem serves users in multiple jurisdictions. Some laws give users rights that cannot be waived by contract.
Nothing in these Terms limits rights or remedies that cannot lawfully be excluded, restricted, or waived. If a provision of these Terms conflicts with mandatory law applicable to you, that mandatory law controls to the extent of the conflict.
We may update these Terms from time to time.
The updated version will be posted with a revised “Last updated” date. Where a change is material and applicable law requires additional notice or consent, we will provide it.
Your continued use of the Services after an updated version takes effect constitutes acceptance only to the extent permitted by applicable law.
